In particular, we have significant experience in advising clients on all stages of the business life cycle, from fundraising, to investment, mergers and exits, and all matters in-between including corporate governance and business strategy. We project manage the legal documentation process throughout the entire transaction, from planning the commercial and tax aspects, conducting the due diligence process, through to contractual negotiation and post-completion integration. Many of our M&A deals have significant cross-border elements and we work in seamless integrated teams with leading local counsel to provide the best expertise and contacts for each transaction.

Fundraising

  • Advising BAce Capital, which is backed by Alibaba-affiliated fintech giant Ant Financial, on Series A investments in RoomMe, an Indonesia-based apartment rental platform, and Printerous, an Indonesia-based online printing platform.
  • Advising Carro on its US$360 million series C fundraising to reach unicorn status, and a separate series C1 fundraising led by state-backed institutional investors.
  • Advising Flexxon Holding on a fundraising investment round led by Heliconia Capital Management, Temasek’s venture capital arm.

Private equity

  • Advising private equity fund manager ASEAN Industrial Growth Fund on its investment in BHS Kinetic, and the acquisition financing for the transaction.
  • Advising LCatterton on its acquisition of a stake in Zenyum, a Singapore-based medical devices business, and the Indonesia, Hong Kong, Taiwan, Malaysia, Vietnam, and Thailand aspects of the transaction
  • Advising Aura Group (Singapore) on its first aviation fund, including advising on matters relating to fund formation and the fund’s participation in junior debt relating to a Boeing 737-8K5 aircraft.

Acquisitions

  • Advising Duff & Phelps on its acquisition of Borrelli Walsh, a leading specialist restructuring, corporate recovery, insolvency and forensic accounting firm.
  • Advising Affinity (Shipping) LLP on its acquisition of the assets of Grieg Shipbrokers in Singapore, Hong Kong and Mainland China.
  • Advising IntriCon Corporation on its acquisition of Emerald Medical Services, a Singapore-based manufacturer of cost-effective complex catheters.

Corporate restructuring

  • Advising General Mills on restructuring and implementation of its new operational model in Southeast Asia.
  • Advising Applus Velosi on its investment in Velosi Industries and the restructuring of its commercial operations in South Korea.
  • Advising Equinix Group on a S$7 billion corporate and debt restructuring. Equinix is the world’s largest data centre and co-location provider, operating in 52 markets across five continents.

Exits

  • Advising Maritec, a Singapore-based global marine fuel testing and surveying business, on its sale to Centre Testing International Group.
  • Advising AirAsia Group Berhad, and its wholly-owned subsidiary Asia Aviation Capital Limited, on the corporate aspects of its US$768 million sale of Asia Aviation Capital Limited’s entire equity interest in Merah Aviation Asset Holding Limited.
  • Acting for Jaya Holdings Limited in the disposal of all of its entire business for a purchase consideration of S$625 million.
